These Terms of Service govern your use of the Upinity website and SaaS application. By creating an account or submitting a marketing form, you agree to these Terms.
Definitions
"Service" means the Upinity monitoring SaaS at app.upinity.com and related marketing site upinity.com. "Subscription" means a paid tier (Starter, Professional, Business, Enterprise) selected at signup. "Trial" means the 14-day evaluation period included with paid tiers. "We/Us" means POWERB SAGL, the legal entity operating the Service.
Account
You must be 18 or older and provide accurate registration data. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Subscription and Pricing
Current tiers and prices are displayed at /#pricing in EUR, USD, and CHF. Prices may change with 30 days' notice; existing subscribers retain their current price until the next renewal. The Free tier is permanent and includes 10 monitors with basic uptime checks. All paid tiers include the 14-day Trial described below.
Trial and Money-Back Guarantee
Paid tiers include a 14-day Trial during which the Service is fully functional. After Trial expiry, the Subscription auto-converts to Free tier unless you confirm a payment method. Separately, we offer a 14-day money-back guarantee on paid subscriptions: contact security@upinity.com or use the refund flow in your account within 14 days of the first charge for a full refund.
Payments
Payments are processed by Stripe Payments Europe Ltd. We never store full card numbers. Recurring charges are billed monthly or annually depending on your selected plan. Failed renewals will downgrade you to Free tier after a 7-day grace period.
Service Level
We target 99.99% monthly uptime for paid tiers. Status and historical uptime are published at status.upinity.com (when available). Service credits for documented downtime are governed by the SLA addendum available on request.
Acceptable Use
You may not use the Service to monitor or scan systems for which you do not have authorisation, to send spam through our notification channels, to attempt to reverse-engineer the Matrix Intelligence pipeline, or to violate any applicable law.
Intellectual Property
Matrix Intelligence is a trademark of POWERB SAGL, registered in Switzerland. The Upinity Service, including all software, designs, logos, and documentation, is the property of POWERB SAGL. You retain all rights to data you submit to be monitored.
Disclaimer of Warranties
The Service is provided "as is" without warranty of any kind. We do not guarantee that monitoring will detect every incident or prevent any specific outage. You are responsible for your own incident response.
Limitation of Liability
To the maximum extent permitted by Swiss and EU law, our aggregate liability for any claim arising from the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Termination
You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that violate these Terms or applicable law, with notice where reasonably possible.
Governing Law and Jurisdiction
These Terms are governed by Swiss law. The exclusive jurisdiction for any dispute is the competent courts of Cantone Ticino, Switzerland.
Changes to These Terms
We may revise these Terms; the "Last updated" date reflects the most recent change. Material changes require 30 days' notice to active subscribers.
